Acceptance of Terms Qleario, Inc. ("Qleario") requires all persons or entities visiting the Qleario website and associated digital gateways (the "Site") to adhere to the following Terms and Conditions. By accessing or utilizing the Site, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree to these terms, you must immediately discontinue use of the Site.

Scope of Use and Security Users of the Site agree to comply with all security protocols and procedures established by Qleario, including the use of designated credentials and passwords where applicable. Unauthorized access to non-public areas of the Site or Qleario’s servers is strictly prohibited. Qleario reserves the right to monitor Site activity to ensure compliance with applicable laws and regulations, and to maintain the operational integrity of our digital infrastructure. Any information or materials submitted to Qleario through the Site—including feedback, data, suggestions, or ideas—shall be deemed non-confidential. Qleario maintains an unrestricted, irrevocable right to reproduce, disclose, and utilize such submissions for any purpose, including the development of products or services, without obligation or compensation to the submitter.

Intellectual Property Rights All content, features, and functionality on this Site—including but not limited to text, graphics, logos, icons, images, and the underlying software code, as well as the "Qleario" name and the "Qlear Tech Insight" publication—are the exclusive property of Qleario or its licensors and are protected by United States and international copyright, trademark, and intellectual property laws. Users are granted a limited, non-exclusive, and non-transferable license to access and view the Site for informational purposes only. No portion of the Site may be reproduced, distributed, modified, or utilized for commercial purposes without the express prior written consent of Qleario.

Warranty Disclaimer and Limitation of Liability The use of Qleario’s Site and the internet generally is at the user’s sole risk. Qleario, along with its affiliates, officers, directors, and agents, disclaims all warranties and representations, express or implied, regarding information accessed via the Site—including but not limited to warranties of merchantability, fitness for a particular purpose, data accuracy, and non-infringement. All content is provided on an "as is" and "as available" basis. Qleario assumes no legal liability for the accuracy, completeness, or timeliness of any information, process, or materials disclosed on the Site. In no event shall Qleario be liable for any special, indirect, or consequential damages, or any loss of use, data, or profits, arising out of or in connection with the performance of this Site, whether in contract, negligence, or other tortious action, even if advised of the possibility of such damages. Any cause of action arising from the use of the Site must be commenced within one (1) year after the event giving rise to such action occurred, or be forever barred.

Governance and Jurisdiction Qleario reserves the right to modify these Terms and Conditions at any time and without prior notice. Any disputes arising from the use of the Site shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Visitors hereby submit to the exclusive jurisdiction of the courts located in Clay County, Florida, and waive any objection to venue therein. In any dispute, the prevailing party shall be entitled to recover its reasonable attorney's fees and costs. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The failure of Qleario to enforce any right or provision of these Terms shall not constitute a waiver of such right.
